Terms of Service
These terms are a contract between you and GOMdrop, Inc., a Delaware corporation (mailing address: 228 Park Ave S, PMB 74365, New York, NY 10003, United States). They are written to be read. If you use GOMdrop, they apply to you.
When we say “GOMdrop”, “we”, or “us”, we mean GOMdrop, Inc. When we say “the service”, we mean gomdrop.com and everything we run under it. A “GOM” (group order manager) is a user who organizes group orders. A “seller” is any user who lists items for sale, including GOMs. A “joiner” or “buyer” is a user who orders or buys.
1. Your account
You must be at least 18 years old, or the age of majority where you live, to buy or sell. You must give us accurate information and keep it current. Accounts registered by bots or other automated methods are not permitted.
You are responsible for what happens on your account. Keep your password to yourself. If you think someone else has access to your account, tell us right away.
2. What GOMdrop is
Three kinds of transactions happen on GOMdrop:
- Group orders. A GOM collects orders and payment from joiners, places a bulk order with a shop or manufacturer, then splits the goods and ships them out.
- Storefront listings. Sellers list items they have on hand. Depending on the listing you can buy immediately, make an offer, or bid in an auction.
- Storefront preorders. A seller takes committed orders for items that have not been purchased or produced yet, and fulfills them when the goods arrive.
When you buy from a seller or join a group order, the sale is a contract between you and that seller or GOM. GOMdrop provides the marketplace, the payment rails, and the protections described below. Some listings are sold by GOMdrop itself. Those listings say so, and for them the seller obligations in these terms apply to us.
3. Group orders and preorders are not store purchases
When you join a group order or commit to a preorder, you are funding a purchase that has not happened yet. This is the point of a group order, and it carries risk that buying an on-hand item does not.
- Estimated dates are estimates, not promises. Production and shipping slip.
- The GOM is obligated to complete the order: buy the goods, receive them, and ship your share to you. If part of an order cannot be fulfilled, the GOM must refund that part.
- We reduce the risk where we can. We verify sellers through our payment provider, hold a portion of funds in reserve on higher-risk orders until they ship, publish each GOM’s fulfillment track record, and base delivery estimates on real history. When a GOM fails to fulfill and we hold reserved funds from that order, we use them to refund buyers.
- We do not guarantee that any group order or preorder will complete, arrive on time, or match your expectations. Held reserves may not cover every failure.
If a GOM takes your money and does not fulfill or refund, that is a violation of these terms. Report it. We will act on the account, and we will help with what we hold, but we are not the insurer of every order.
4. Paying
Prices are in U.S. dollars. Payments are processed by Stripe. We never see or store your full card number.
- Buy-now purchases are charged when you buy.
- Auction wins are charged when the auction closes. Bids are binding.
- Group orders and preorders are charged on the schedule shown before you commit. Some orders charge everything up front. Others charge in stages, for example a deposit when you join and the remainder when the goods ship.
Sales tax is added where the law requires it. Shipping costs are shown before you pay, either as a fixed price on the listing or as a quote for your address. Tips to GOMs are optional and are never required to receive your order.
5. Refunds, cancellations, and disputes
- On-hand items: if the seller cancels or fails to ship your order, you are refunded in full.
- Group orders and preorders: if the order fails, is canceled, or your committed slot cannot be filled, the amounts charged for the unfulfilled part are refunded. Once a GOM has spent collected funds on the bulk purchase, mid-order withdrawal is not a right; whether a GOM accepts a cancellation before then is their call and their listing’s policy.
- Auctions: winning bids are final. If the seller cannot deliver, you are refunded.
If something is wrong with an order, contact the seller first, then us at [email protected]. Filing a card chargeback on an order that was properly fulfilled, instead of using those channels, can result in the loss of your account.
6. Selling on GOMdrop
To sell, you connect a payout account through Stripe, which verifies your identity. Payouts go to that account. Our fees are shown on the pricing page and are taken from each sale.
We may hold a portion of your sale proceeds in reserve until you fulfill, based on the size and risk of the order and your track record. Reserved funds are released when you ship and are used to refund your buyers if you do not.
If you sell here, you agree to:
- describe items accurately, including condition;
- categorize items correctly and fill in their attributes honestly, so buyers find what they search for;
- flag adult items as adult content (section 8);
- list nothing from the prohibited list (section 7);
- ship within your stated handling time, with tracking where offered;
- tell your buyers promptly when something is delayed; and
- refund what you cannot fulfill.
If you break these rules or your orders go bad, we can remove listings, hold payouts, restrict your selling, cancel and refund orders you cannot service, or terminate your account.
7. What you cannot sell
GOMdrop is for physical goods that can be legally and safely shipped. Do not list:
- anything intangible: digital files, license keys, game codes, accounts, subscriptions, or services;
- food, drink, supplements, or anything else meant to be ingested;
- cosmetics or skincare that are opened or used (new and sealed is fine);
- weapons, firearms, ammunition, or explosives;
- drugs, drug paraphernalia, alcohol, tobacco, or vape products;
- counterfeit goods. Fan-made merchandise is welcome where it is lawful; counterfeits of official merchandise are not;
- stolen, recalled, or hazardous items; and
- anything else illegal where you or your buyer live.
We decide the edge cases, and we can remove any listing at our discretion.
8. Adult content
Adult items, such as adult figures and books, are allowed under these rules:
- Flag the item as adult content when you list it.
- Flagged items are hidden from browsing and search unless a user chooses to see them, and buying them requires being 18 or older.
- Keep listing titles and cover photos non-explicit.
- Content that sexualizes minors is banned, whether real, drawn, or animated. Listing it ends your account immediately and permanently, and we report where the law requires.
Listing adult items without the flag gets the listing removed. Doing it repeatedly gets the account suspended.
9. Your content
You own the photos and text you post. You give us a non-exclusive, worldwide, royalty-free license to host, display, and promote them as part of running the service. Only upload what you have the rights to. We can remove content that breaks these terms or the law.
10. Conduct
Do not:
- defraud, harass, or threaten anyone;
- move deals off the platform to avoid fees. Off-platform deals lose every protection in these terms, and soliciting them can end your account;
- scrape the service or access it with bots, except through interfaces we publish;
- probe, overload, or interfere with the service’s security or operation; or
- use the service to break the law.
11. Subscriptions
Paid plans are billed through Stripe and renew automatically. Cancel any time; you keep the plan until the end of the period you paid for, and we do not charge you again. We do not prorate partial periods. If we change a plan’s price, we tell you before the change affects you.
12. Copyright complaints
If you believe content on GOMdrop infringes your copyright, send a DMCA notice to [email protected] with the material identified, your contact information, and a statement of good-faith belief. Counter-notices go to the same address. We terminate repeat infringers.
13. Termination
You can close your account whenever you want. Open orders are settled first: what you owe gets fulfilled or refunded, and what you are owed gets paid out.
We can suspend or terminate your account if you violate these terms. If we do, funds owed to you are paid out after your outstanding orders are resolved, minus anything needed to cover refunds you owe.
14. The service changes
We add, change, and retire features. The service will have bugs and downtime. We work on both, but we do not promise uninterrupted or error-free operation.
15. Disclaimer
The service is provided as is. Listings are written by sellers, and sellers are responsible for them. We do not guarantee the accuracy of any listing, the outcome of any group order, or that any item will meet your expectations.
16. Liability
To the extent the law allows, our total liability to you for any claim arising out of the service is limited to the greater of the fees you paid us in the twelve months before the claim or one hundred U.S. dollars. We are not liable for indirect, incidental, or consequential damages, including lost profits. Some places do not allow these limits; in those places they apply only as far as the law permits.
In plain terms: on a marketplace, most of your relationship is with the person on the other side of the sale. We build the guardrails described here, and that is what we answer for.
17. Indemnification
If your listings, sales, or use of the service cause a third party to bring a legal claim against us, you will defend us against it and cover the resulting costs.
18. Governing law and disputes
These terms are governed by the laws of the State of Delaware, where GOMdrop, Inc. is incorporated, without regard to its conflict-of-law rules.
If you have a dispute with us, email [email protected] first. Most disputes get resolved this way. Formal proceedings can begin only after thirty days of good-faith informal effort.
Disputes we cannot resolve informally are settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, conducted remotely or on written submissions where those rules allow. This means disputes are decided by an arbitrator instead of a judge or jury, and you and we each bring claims individually, not as part of a class action.
Two exceptions: either of us can bring a qualifying claim in small claims court instead, and either of us can go to court to protect intellectual property or to seek emergency injunctive relief.
19. Changes to these terms
We can update these terms. When a change is material, we post the new terms with a new date and email account holders before the change takes effect. Using the service after that means you accept the new terms.
If a court finds part of these terms unenforceable, the rest still applies. These terms are the whole agreement between you and us about the service. We may assign this agreement as part of a merger or sale of the company; you may not assign it.
